The Basic Deal

You use Kiwi Equity to manage your company's equity. We provide the software, you keep ownership of your data. Simple.

What We Do

Kiwi Equity is equity management software for companies handling RSUs, ESOPs, and stock option plans. We help you:

• Track grants, vesting schedules, and employee equity holdings
• Manage buybacks, terminations, and treatment decisions
• Calculate pool availability and generate compliance reports
• Maintain audit trails and data integrity for equity operations

What we don't do: We're not a broker, marketplace, or financial advisor. We don't facilitate trading or provide investment advice.

Who Can Use This

• Companies: You must be a legitimate business entity
• Admins: Only designated company administrators can access your account
• Age: You must be 18+ and legally able to enter contracts

Your Responsibilities

• Legal compliance: You're responsible for ensuring your equity grants and management practices comply with applicable securities laws, employment regulations, and tax requirements.
• Data accuracy: Provide accurate grant, vesting, and employee information. Equity calculations depend on correct data input.
• Proper usage: Use the platform only for legitimate equity management - no fraud, manipulation, or other illegal activities.
• Access control: Secure your admin credentials and only grant access to authorized personnel.
• Record keeping: While we provide audit trails and reports, maintain your own compliance records as required by law.

Our Responsibilities

• Uptime: We aim for 99.9% availability but can't guarantee zero downtime.
• Security: We implement industry-standard security measures but can't guarantee absolute security.
• Data integrity: We backup your data but you should maintain your own records too.
• Privacy: We follow our Privacy Policy and won't sell your data.

What You Own

• Your data: All equity data, company information, and content you input belongs to you.
• Your decisions: We provide tools; you make all equity decisions.
• Export rights: You can export your data anytime.

What We Own

• The software: Kiwi Equity's code, features, and intellectual property belong to us.
• Improvements: Features we develop based on general user feedback belong to us.

Free Service and Data Portability

• No fees: Kiwi Equity is currently provided free of charge.
• No guarantees: Because the service is free, we provide it "as available" with no uptime or performance guarantees.
• Data export: You can export your data anytime in standard formats (CSV, JSON).
• Backup responsibility: While we maintain backups, you should regularly export your own copies of critical data.
• Future pricing: We may introduce paid features later but will give 90 days notice and maintain free data export.

Service Changes and Termination

• We can: Modify features, suspend accounts for policy violations, or discontinue the service with 90 days notice.
• You can: Stop using the service anytime. Export your data before discontinuing use.
• Data retention: We'll maintain your data for 30 days after your last login to allow reactivation.
• Service discontinuation: If we shut down Kiwi Equity, we'll provide 90 days notice and keep data export available during that period.

Limitations and Disclaimers

• Free service disclaimer: Kiwi Equity is provided free of charge. We make no guarantees about uptime, performance, or suitability for your specific needs.
• Not financial or legal advice: We provide software tools for equity management, not investment advice, legal counsel, or securities compliance guidance.
• Compliance responsibility: You're responsible for ensuring your equity practices meet applicable securities, employment, and tax laws.
• No warranties: The service is provided "as is" without warranties of any kind.
• Data responsibility: While we implement security measures and backups, you should maintain your own records of critical equity information.
• Liability limits: Since this is a free service, our liability is limited to the maximum extent permitted by law.
• Calculation accuracy: While we implement standard vesting calculations, you should verify all calculations meet your specific plan requirements.

Privacy and Security

• Data protection: See our Privacy Policy for details on how we handle your information.
• Tenant isolation: Your data is completely separate from other customers.
• Audit trails: We log actions for security and compliance purposes.

Dispute Resolution

• Governing law: Republic of Indonesia laws apply.
• Good faith: Try to resolve disputes directly with us first.

Changes to These Terms

We may update these terms occasionally.
